Terms of Service
1. Scope and contracting parties
These Terms of Service govern the use of Reewamp CRM, the software service available at crm.reewamp.com and related apps (the "Service"), provided by Reewamp GmbH, Brehmestraße 61, 13187 Berlin, Germany, registered with the Amtsgericht Charlottenburg under HRB 287052 B ("Reewamp", "we").
The Service is offered exclusively to businesses within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law (each a "Customer"). It is not offered to consumers. By signing up, the person accepting these Terms confirms that they act on behalf of a business and are authorised to bind it.
These Terms apply exclusively. General terms and conditions of the Customer do not become part of the contract, even if we do not expressly object to them or perform the contract while aware of them. Individual written agreements, in particular Enterprise agreements, take precedence over these Terms.
2. The Service
Reewamp CRM is a web-based customer relationship management system with companies, people, deals, signals, tasks, workflows, reports, custom objects and an AI assistant. Depending on the plan, it also includes access through the API and an MCP server for integrations and AI agents, and the apps Outbound (email sequences and reply inbox), PSA (projects, timesheets, expenses and delivery), Commission and CPQ. The features and apps included in each plan are described on reewamp.com/crm at the time of ordering.
We develop the Service continuously and may change, replace or remove features, provided that the core functionality of the Customer's plan is not materially reduced during a paid billing period. Features marked as beta or preview are provided as they are and may change or end at any time.
We owe the provision of the Service as software as a service. We do not owe any particular business result, such as a number of deals won or a level of revenue.
3. Account, users and access
- The Customer signs up with a Google Workspace account of its own business domain. The person who signs up becomes the first administrator of the Customer's workspace.
- Administrators decide who can use the workspace, which roles users have and which people from the Customer's domain are admitted. The Customer is responsible for all activity of its users and of integrations using its API keys or access tokens.
- Credentials and access tokens must be kept confidential. The Customer informs us without delay if it suspects misuse of its account.
4. Plans, free trial and fees
- Prices are per workspace, regardless of the number of users (every plan includes unlimited users), as shown on reewamp.com/crm when the plan is ordered, for monthly billing or, at a lower monthly rate, for annual billing. All prices are net and exclusive of statutory value added tax, which is added where it applies. For customers in other EU member states with a valid VAT identification number, the reverse charge procedure applies.
- New self-service subscriptions start with a free trial of 7 days. A valid payment method is required to start the trial. If the Customer does not cancel before the trial ends, the subscription continues as a paid subscription and the fee for the first billing period (one month, or one year on annual billing) is charged at the end of the trial.
- Fees are billed in advance for the billing period the Customer chose, monthly or annually, through our payment provider Stripe and charged to the payment method on file (card or SEPA Direct Debit). On annual billing, the fee for the whole year is charged at the start of each year. Invoices are issued electronically and are available in Settings > Billing.
- We may change prices with at least six weeks' notice in text form before the change takes effect. A price change applies from the next billing period; on annual billing, from the next renewal. If the Customer does not agree, it may cancel the subscription with effect from the date the change takes effect.
- Enterprise plans are agreed individually; their prices, scope and terms are set out in the respective order or agreement.
5. Late payment and suspension
If a payment fails, our payment provider retries the charge and informs the Customer by email. If the amount is still unpaid after these retries, or the subscription ends for non-payment, we may suspend access to the workspace until the amount is paid. Suspension does not delete any data; access is restored once the outstanding amount has been paid.
The statutory provisions on default apply, including default interest for businesses under § 288 (2) BGB. The Customer may only set off claims that are undisputed or have been finally established by a court.
6. Term and cancellation
- Subscriptions have a billing period of one month or one year, as chosen when ordering, and renew automatically for a further period of the same length unless cancelled, or as an Enterprise agreement provides otherwise.
- The Customer may cancel at any time with effect from the end of the current billing period, in Settings > Billing (Manage billing) or by email to [email protected]. On annual billing, the subscription then ends at the end of the current year. Fees already paid for the current billing period are not refunded.
- Switching between monthly and annual billing takes effect from the next billing period.
- We may cancel a subscription with four weeks' notice to the end of a billing period.
- The right of either party to terminate for good cause remains unaffected. Good cause for us exists in particular if the Customer is in default with payment for more than two months or seriously or repeatedly breaches section 8.
7. Customer data, data protection and data location
- All data the Customer and its users enter into or import into the Service remains the Customer's ("Customer Data"). The Customer grants us the rights needed to store, process and display Customer Data for the sole purpose of providing the Service.
- Where we process personal data on the Customer's behalf, we do so as a processor under Article 28 GDPR in accordance with our data processing agreement, which forms part of the contract. It is available on request at [email protected].
- Customer Data is stored in the European Union. We use carefully selected subprocessors, in particular Cloudflare (hosting and storage, EU data location), Stripe (payments), Google (sign-in) and, when the Customer uses the AI assistant, Anthropic (processing of the assistant's requests). The current list of subprocessors is part of the data processing agreement.
- We do not use Customer Data to train AI models.
- The Customer is responsible for having a legal basis for the personal data it processes with the Service, in particular for contacts it reaches through the Outbound app.
8. Acceptable use
The Customer and its users may use the Service only for lawful business purposes. In particular, they may not:
- send unsolicited or unlawful messages, or use the Outbound app in breach of applicable law on direct marketing and data protection;
- store or transmit content that infringes the rights of others or is unlawful;
- attempt to gain unauthorised access to the Service, other workspaces or our systems, or test their security without our prior written consent;
- reverse engineer, decompile or copy the Service, except where the law expressly permits it;
- overload the Service, for example by automated requests beyond the documented API usage, or resell the Service to third parties without our consent.
9. Availability and maintenance
We aim for an availability of the Service of 99% per calendar month. Planned maintenance, which we announce in advance where possible, and interruptions caused by circumstances outside our control, such as failures of the internet or of third-party networks, do not count against this target.
We do not guarantee that the Service will be uninterrupted or free of errors.
10. AI features
The AI assistant and other AI features generate suggestions and content automatically. Their output can be incomplete or wrong. The Customer is responsible for reviewing output before relying on it or sending it to third parties. Use of AI features may be subject to usage limits that depend on the plan.
11. Intellectual property
All rights to the Service, including software, design and documentation, remain with Reewamp or its licensors. For the term of the contract, the Customer receives a non-exclusive, non-transferable right, limited to its own business purposes, to use the Service through the internet within the scope of its plan.
If the Customer sends us suggestions or feedback, we may use them freely to improve the Service.
12. Warranty
For defects of the Service, the warranty provisions of German rental law (§§ 535 et seq. BGB) apply, with the following modifications: the Customer must report defects to us without delay in text form with a description that allows us to reproduce them. Strict liability for defects that already existed when the contract was concluded (§ 536a (1), first alternative, BGB) is excluded.
13. Liability
- We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under a guarantee we have given and under the German Product Liability Act.
- For slight negligence we are liable only for breach of an obligation whose fulfilment is essential for the proper performance of the contract and on whose fulfilment the Customer may regularly rely (material contractual obligation). In that case our liability is limited to the damage that was typical and foreseeable when the contract was concluded, and per contract year to the fees the Customer paid in the twelve months before the event that caused the damage.
- Liability for loss of data is limited to the effort that would have been needed to restore the data had the Customer kept appropriate, regular backups; the Service offers data exports for this purpose.
- Otherwise our liability is excluded. These limitations also apply to the personal liability of our employees, representatives and agents.
14. Confidentiality
Both parties keep confidential all information of the other party that is marked as confidential or is evidently confidential, and use it only for the purposes of the contract. This obligation continues for three years after the end of the contract.
15. Data export and switching provider
The Customer can export its Customer Data at any time, in particular as a full backup in a machine-readable format (JSON), as CSV and through the API. If the Customer wants to switch to another provider, we support the transfer of its exportable data in accordance with the EU Data Act; the Customer may request this with a notice period of up to two months.
After the contract ends, Customer Data remains available for export for 30 days. After that, we delete it, unless statutory retention obligations require otherwise.
16. Reference
We may name the Customer, including its name and logo, as a customer of Reewamp CRM. The Customer may object to this at any time by email to [email protected].
17. Changes to these Terms
We may change these Terms with effect for the future if there is a valid reason, in particular new legal requirements or changes to the Service. We inform the Customer of changes in text form at least six weeks before they take effect. The changes are deemed accepted if the Customer does not object in text form before they take effect; we point this out in the notice. If the Customer objects, either party may terminate the contract with effect from the date the changes would take effect.
18. Final provisions
- These Terms and all contracts under them are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes is Berlin, Germany.
- Amendments and additions require text form. This also applies to waiving the text form requirement.
- If a provision of these Terms is or becomes invalid, the validity of the remaining provisions is not affected.
- These Terms are written in English. If a translation is provided, the English version prevails.
